Welcome to the website of Real Supply Technology Industry & Trade Co., Ltd. ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, products, and services related to precision machining, CNC manufacturing, OEM production, and industrial trade. By accessing or using this website, you agree to be bound by these Terms. If you do not agree, please discontinue use of the website.
Any purchase order submitted by the Customer shall be subject to acceptance by the Company. Acceptance is expressly limited to these Terms. Any additional or different terms proposed by the Customer in a purchase order or elsewhere are hereby rejected unless explicitly agreed to in writing by an authorized representative of the Company.
1. Use of the Website
You may use this website only for lawful purposes and in accordance with these Terms. You agree not to:
- Violate any applicable U.S., EU, PRC (China), or international laws or regulations
- Attempt unauthorized access to systems, servers, or data
- Disrupt or interfere with website security or operations
- Misrepresent your identity or business intent
We reserve the right to suspend or terminate your access for violations of these Terms.
2. Scope – Nature of Services
The website provides information about CNC precision machining, turning, milling, custom metal components, assemblies, and OEM manufacturing services. All technical descriptions, drawings, samples, tolerances, lead times, and capacities are indicative only unless expressly confirmed in a written agreement.
All manufacturing services are subject to feasibility review and formal acceptance by the Company.
3. Quotations and Pricing, Purchase Orders and Contracts
- All quotes are valid for thirty (30) days from the date of issuance unless otherwise stated.
- Quotes are based on information available at the time. Any changes in specifications, quantities, or drawings by the Customer may result in price adjustments.
- Quotations are non-binding unless explicitly stated otherwise in writing.
- Prices are subject to change due to fluctuations in raw material costs.
- Orders become binding only upon written acceptance by the Company.
- We reserve the right to refuse any order for any reason.
- Prices, specifications, delivery terms, and payment terms are governed by written contracts, purchase orders, or invoices.
- In case of conflict, signed agreements prevail over website content.
4. Customer Specifications,Materials, and Design Responsibility
- The Customer is responsible for providing accurate CAD files, 3D drawings, tolerances, and specifications. The Company is not responsible for errors resulting from inaccurate client data.
- We do not provide design, engineering, or drafting services unless separately agreed in writing.
- You are solely responsible for the design, fitness for purpose, functionality, safety, and compliance of the parts with applicable laws, regulations, industry standards, and end-use requirements.
- Unless otherwise agreed, we source materials from standard suppliers.
- Customer-supplied material is subject to inspection upon receipt. The Company is not responsible for damages or defects in material supplied by the Customer.
- Material certifications (e.g., mill certs, RoHS, DFARS) are provided only when specifically requested and quoted.
5. Tolerances and Quality Standards
The Company operates under a quality management system aligned with ISO 9001 principles. Products are manufactured in accordance with agreed specifications and applicable standards.
- Parts will be manufactured to the tolerances explicitly stated in your approved drawings/specifications.
- If no tolerance is specified for a dimension, we will apply our standard tolerances (typically ±0.005″ for general features or industry-recognized defaults such as ISO 2768-m).
- We will use commercially reasonable efforts to achieve specified surface finishes, but exact matching is not guaranteed unless samples are first approved.
- Unless expressly agreed in writing, the Company does not warrant fitness for a specific application or regulatory compliance in the customer’s end market.
- Customer must inspect goods within 14 working days of receipt and notify the Company of any defects or shortages. Failure to notify us in writing of nonconformities within this period constitutes acceptance. Non-conforming parts will be replaced or reworked at our discretion.
- Returned goods are subject to inspection. Shipping costs for returned parts shall be at the cost of the Buyer unless otherwise determined.
6. Changes and Cancellations
- Changes requested after order acceptance may result in additional charges, schedule delays, and/or requalification of the part.
- Cancellations or deferrals after production has commenced are subject to payment for all completed work, work-in-process, non-cancelable material purchases, and reasonable overhead/profit.
7. Delivery and Shipping
- Shipping terms shall be governed by the agreed Incoterms® (2020 or later version unless otherwise stated).
- All shipments are F.O.B. our facility
- Quoted lead times are estimates only and are not guaranteed. We are not liable for delays caused by carriers, force majeure, or your changes/instructions.
- Risk of loss passes to the Customer upon delivery to the carrier.
- Customers are responsible for import/export clearance, duties, taxes, and compliance with destination country regulations unless otherwise agreed in writing.
8. Payment Terms
Payment terms shall be defined in invoices or contracts. Failure to pay on time may result in suspension of production, delivery delays, interest on overdue amounts (where permitted by law), or legal recovery actions.
- Standard terms: Net 30 days from invoice date (subject to credit approval).
- New customers, international orders, or orders above [certain threshold] may require 50% deposit or full prepayment.
- Overdue amounts or late payments accrue interest at 1.5% per month (18% annual) or the maximum rate permitted by law.
- We reserve the right to suspend production/shipments or require cash-in-advance if payment becomes delinquent.
- Expedited orders may incur extra charges, which will be quoted upon request.
9. Intellectual Property and Confidentiality
- All website content, including text, images, technical descriptions, drawings, logos, and designs, is owned by or licensed to the Company and protected by applicable intellectual property laws in the United States, European Union, and China.
- You may not copy, reproduce, modify, or distribute content without prior written consent.
- All designs, prototypes, and tooling created by the Company remain the exclusive property of the Company, even if the Customer paid for engineering or tooling charges, unless otherwise agreed in writing.
- Any non-public technical, commercial, or pricing information exchanged in connection with inquiries, quotations, or projects shall be treated as confidential unless otherwise agreed in writing or required by law.
10. Limited Warranty
We warrant that parts will be free from defects in material and workmanship and will substantially conform to your approved specifications at time of shipment.
- The website and its content are provided on an "as is" and "as available" basis
- All implied warranties, including merchantability and fitness for a particular purpose, are disclaimed to the maximum extent permitted by law
- No warranty applies to parts that have been altered, misused, improperly installed, subjected to abnormal conditions, or used beyond design intent.
THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR LOSS OF USE) ARISING OUT OF OR RELATED TO THESE TERMS OR THE PARTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold us harmless from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:
- your breach of these Terms
- inaccuracy or inadequacy of Customer Specifications
- infringement of third-party intellectual property rights by your designs
- the end use, incorporation, or resale of the parts
13. Force Majeure
Neither party shall be liable for delays or failure to perform caused by events beyond reasonable control (fire, flood, earthquake, war, terrorism, pandemics, government action, material shortages, labor disputes, etc.).
14. Governing Law and Dispute Resolution
Unless otherwise agreed in writing: for U.S.-based users: governed by the laws of the State of North Carolina, USA; for China-based users: governed by the laws of the People’s Republic of China
Disputes shall first be resolved through good-faith negotiation. If unresolved, disputes may be submitted to a competent court or agreed arbitration forum.
15. Changes to Terms
We may update these Terms periodically. Updates will be posted on this page with a revised "Last Updated" date. Continued use of the website constitutes acceptance of the updated Terms.
